1. About Gem Quote and These Terms
Gem Quote is an AI-powered quotation generation tool that helps professionals across various industries create, format and share professional quotes and estimates ("the Service"). The Service is operated by Gem Quote Ltd, a company registered in England and Wales ("we," "us," "our").
These Terms of Service ("Terms") govern your access to and use of the Service, including our website at gemquote.co.uk, our web application, and any related services. By creating an account, accessing the platform, or using any part of the Service, you confirm that you have read, understood and agreed to these Terms in their entirety.
We reserve the right to update these Terms at any time. We will notify you of material changes by email or via a notice on the platform. Continued use of the Service following notification constitutes acceptance of the updated Terms. If you do not accept any change, you must stop using the Service and may cancel your account.
If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms, and references to "you" include both you personally and that entity.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years of age to use the Service. By registering, you confirm that you are at least 18. We do not knowingly permit access by anyone under 18. If we discover that a user is under 18, we will terminate their account immediately.
The Service is intended for use by professionals, sole traders, small businesses and other commercial entities for legitimate business quoting purposes. Use by consumers for purely personal, domestic or non-commercial purposes falls outside the intended scope of the Service.
2.2 Account Registration
To access the core features of the Service, you must create an account. You agree to:
- Provide accurate, current and complete information during registration;
- Maintain and promptly update your account information to keep it accurate;
- Keep your password and login credentials confidential and secure;
- Not share your account with any third party or allow any third party to access the Service through your account;
- Notify us immediately at support@gemquote.co.uk if you suspect any unauthorised access to your account.
You are solely responsible for all activity that occurs under your account. We are not liable for any loss resulting from unauthorised use of your account where you have failed to maintain the security of your credentials.
2.3 One Account Per User
Each account is for a single named user or business entity. Creating multiple accounts to circumvent free tier limits or obtain additional free quotes is a material breach of these Terms and may result in immediate termination of all associated accounts.
3. Subscription Plans and Payment
3.1 Plans
We offer a free tier and paid subscription plans ("Pro" and "Annual Pro") as described on our pricing page. Plan features and prices are subject to change with reasonable notice.
3.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis via our payment processor, Stripe. By subscribing, you authorise us (via Stripe) to charge your payment method on a recurring basis until you cancel. All prices are stated exclusive of any applicable taxes unless otherwise specified. Where required by UK law (including UK VAT), applicable tax will be added to the subscription fee.
3.3 Cancellation
You may cancel your subscription at any time via your account billing settings or by emailing support@gemquote.co.uk. Cancellation takes effect at the end of your current billing period. We do not provide pro-rata refunds for partial billing periods, except where required by law (see Section 15 on Consumer Rights).
3.4 Refunds
Refunds are not provided as a matter of course once the Service has been accessed. However, you may be entitled to a refund in the following circumstances:
- 14-day cooling-off period: If you are a UK consumer and you have not yet accessed or used the Service, you may be entitled to a full refund within 14 days of subscribing under the Consumer Contracts Regulations 2013. If you have begun using the Service within that 14-day period, you waive your right to a full refund but may be entitled to a pro-rata refund for unused days.
- Service unavailability: If a confirmed technical fault on our side has prevented you from accessing the Service for a sustained period, we will consider a partial or full refund at our discretion.
- Billing errors: If you have been charged incorrectly, we will issue a full refund of any overcharged amounts.
3.5 How to Request a Refund
To request a refund, please email us at support@gemquote.co.uk with the subject line "Refund Request" and include the following information:
- Your full name and the email address registered to your account
- The date you subscribed
- The reason for your refund request
- Whether you have used the Service since subscribing
We aim to respond to all refund requests within 3 business days. If your request is approved, the refund will be processed via your original payment method within 5–10 business days depending on your card issuer.
3.4 Price Changes
We will give you at least 30 days' notice before increasing the price of your subscription. If you do not cancel before the price change takes effect, you will be deemed to have accepted the new price.
3.5 Failed Payments
If a payment fails, we may suspend access to paid features until payment is successfully collected. We will make reasonable attempts to notify you of payment failures. Accounts with outstanding payments for more than 30 days may be downgraded to the free tier or terminated.
4. Free Tier and Usage Limits
The free tier allows up to 10 AI-generated quotes at no charge. This allowance is per account and is not transferable. Free tier usage is subject to fair use. We reserve the right to reduce or suspend free tier access where we reasonably believe it is being abused or used for commercial purposes beyond the intended trial scope.
Quote outputs generated under the free tier are subject to all the same disclaimers and limitations as paid tier outputs. The free tier does not include access to all features available to paid subscribers.
5. Acceptable Use
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not:
- Use the Service for any fraudulent, deceptive or misleading purpose, including generating quotes you have no intention of honouring;
- Use the Service to generate content that is defamatory, discriminatory, harassing, or otherwise unlawful;
- Attempt to reverse-engineer, decompile, disassemble or otherwise derive the source code of the Service;
- Use automated means (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent;
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
- Attempt to gain unauthorised access to any part of the Service or its related systems;
- Resell, sublicense or commercially exploit the Service or its outputs without our prior written agreement;
- Use the Service in violation of any applicable law, regulation or third-party rights;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Service in violation of any applicable UK law or regulation.
Violation of this section may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement authorities.
6. AI-Generated Content — Critical Disclaimer
⚠️ This is the most important section of these Terms. Please read it carefully.
6.1 Nature of AI Outputs
Gem Quote uses artificial intelligence to generate quotation breakdowns, pricing estimates, line items, and related content. AI-generated outputs are automated suggestions only. They are not professional advice, accurate assessments, guaranteed prices, or contractually binding documents.
6.2 No Accuracy Guarantee
We make no representation, warranty or guarantee that:
- AI-generated quotes reflect actual market prices, material costs, labour rates, or any other commercial reality;
- Quote breakdowns are appropriate, complete, or suitable for any particular job, project or client;
- Outputs are free from errors, omissions, inaccuracies, or hallucinations (a known limitation of AI systems);
- Generated content complies with any regulatory, contractual, or professional standards applicable to your industry.
6.3 Your Responsibility to Review
You are solely and entirely responsible for reviewing, verifying, editing and approving any AI-generated quote before sending it to a customer or using it in any commercial context. By sending a quote generated by Gem Quote to a customer, you confirm that you have reviewed it and accept full responsibility for its contents, accuracy and any consequences arising from it.
6.4 Business Losses
We expressly exclude all liability for any business losses, financial losses, loss of profit, loss of revenue, loss of contract, loss of opportunity, or any other direct, indirect, consequential or incidental loss arising from:
- Reliance on AI-generated quote content without independent verification;
- Quotes being too low or too high relative to actual costs, resulting in losses or lost business;
- Errors in pricing, calculations, VAT, or line item descriptions generated by the AI;
- A customer disputing or refusing to pay based on a quote generated through the Service;
- Any loss suffered by your customer or any third party arising from a quote generated through the Service.
This exclusion applies whether or not we were advised of the possibility of such losses and regardless of the legal theory under which liability is sought.
6.5 Third-Party AI
The Service uses third-party AI technology (including the Anthropic API). We are not responsible for the behaviour, outputs or failures of third-party AI systems. The use of AI in the Service is subject to the terms and capabilities of those underlying systems, which may change without notice.
7. No Professional Advice
Nothing in the Service, including AI-generated outputs, constitutes legal, financial, tax, accounting, regulatory, or any other form of professional advice. We are a software tool, not a professional services firm.
You should not rely on the Service as a substitute for advice from qualified professionals in your industry. In particular:
- AI-generated quotes do not constitute a contract, binding estimate, or professional assessment;
- Any VAT or tax calculations in generated quotes are illustrative only and should be verified by a qualified accountant;
- Pricing generated by the AI reflects general market data and may not reflect actual costs in your specific location, market conditions, or for your specific client;
- Quotes for regulated industries (e.g. gas, electrical, medical, legal) must be reviewed against applicable regulatory requirements before use.
8. Limitation of Liability
8.1 Cap on Liability
To the maximum extent permitted by applicable law, our total aggregate liability to you arising from or in connection with these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to us in the 12 months preceding the event giving rise to the claim; or (b) £100.
8.2 Excluded Losses
To the maximum extent permitted by law, we exclude all liability for:
- Loss of profits, loss of revenue, loss of business, loss of contract or loss of anticipated savings;
- Loss of data or corruption of data;
- Loss of goodwill or reputation;
- Indirect, special or consequential loss of any kind;
- Any loss arising from your reliance on AI-generated content (see Section 6);
- Any loss arising from service interruptions, downtime, or changes to the Service;
- Losses caused by third-party services, including payment processors, AI providers, or hosting providers.
8.3 No Exclusion of Mandatory Rights
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. Consumer rights under UK law that cannot be waived remain unaffected.
8.4 Basis of the Bargain
You acknowledge that the limitations of liability in this section reflect a fair allocation of risk between the parties and form an essential basis of the agreement between us. The Service would not be offered at the prices charged without these limitations.
9. Indemnification
You agree to indemnify, defend and hold harmless Gem Quote Ltd, its directors, officers, employees, contractors and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms;
- Any quote or communication you send to a customer using content generated by the Service;
- Any dispute between you and a customer arising from a quote generated through the Service;
- Your violation of any applicable law, regulation, or third-party right;
- Any misrepresentation made by you in connection with the Service.
10. Intellectual Property
10.1 Our IP
The Service, including its software, design, branding, databases, and all content created by us, is owned by or licensed to Gem Quote Ltd and protected by intellectual property laws. You may not copy, reproduce, modify, distribute or create derivative works from any part of the Service without our prior written consent.
10.2 Your Content
You retain ownership of any information you input into the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to use, process and store Your Content solely to the extent necessary to provide the Service to you.
10.3 AI-Generated Outputs
Quote content generated by the AI based on your inputs is assigned to you for your business use. We do not claim ownership of individual quote outputs. However, the underlying templates, logic, prompts and systems used to generate outputs remain our proprietary intellectual property.
10.4 Feedback
If you provide feedback, suggestions or ideas about the Service, you grant us an irrevocable, royalty-free, worldwide right to use that feedback in any manner without compensation to you.
11. Data and Privacy
Your privacy is important to us. Our collection, use and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the practices described in the Privacy Policy.
We process personal data as a data controller under the UK GDPR. Where we process personal data on your behalf (e.g. customer information you enter when creating quotes), we act as a data processor and you act as the data controller. You are responsible for ensuring you have a lawful basis for sharing such data with us and for complying with your own data protection obligations in respect of your customers.
12. Service Availability and Changes
12.1 Availability
We aim to make the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted, error-free service. The Service may be temporarily unavailable due to maintenance, upgrades, server issues, third-party outages, or circumstances beyond our reasonable control.
12.2 Changes to the Service
We reserve the right to modify, update, enhance or withdraw features of the Service at any time. We will give reasonable notice of material changes where possible. Continued use of the Service following any change constitutes acceptance of that change.
12.3 Third-Party Services
The Service integrates with third-party providers including Anthropic (AI), Supabase (authentication and database), and Stripe (payments). We are not responsible for the availability, performance, or terms of these third-party services. Changes to third-party services may affect the functionality of Gem Quote.
13. Termination
13.1 Termination by You
You may close your account at any time by contacting us at support@gemquote.co.uk. Upon closure, your access to the Service will end at the end of your current billing period (for paid subscribers) or immediately (for free tier users).
13.2 Termination by Us
We may suspend or terminate your account immediately and without notice if:
- You materially breach these Terms and fail to remedy the breach within 7 days of notice;
- You engage in abusive, fraudulent or illegal conduct;
- Your use of the Service poses a security or legal risk to us or other users;
- We are required to do so by law or a regulatory authority.
We may also terminate the Service entirely with reasonable notice to all users.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy and data retention practices. Sections 6, 7, 8, 9, 10, 14 and 16 survive termination.
14. Dispute Resolution and Governing Law
14.1 Governing Law
These Terms and any disputes arising from them are governed by the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms.
UK consumers have the benefit of any mandatory consumer protection laws under English law that cannot be excluded by contract.
- Ireland: Irish consumer protection legislation applies where mandatory.
- United States: If you are a US consumer, any dispute may be resolved through binding individual arbitration under the rules of the American Arbitration Association, except where prohibited by law.
14.2 Informal Resolution
Before initiating any formal legal proceedings, you agree to contact us at support@gemquote.co.uk to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days. This does not affect any rights you may have as a consumer under applicable law.
14.4 Users in Other Jurisdictions
If mandatory consumer protection laws in your country provide you with rights that cannot be overridden by contract, those rights are not affected by these Terms. These Terms are intended to operate within the bounds of all applicable mandatory laws.
15. Consumer Rights & Cooling-Off Period
If you are a consumer (i.e. using the Service for personal, non-business purposes), you may have statutory rights under applicable consumer protection law that cannot be excluded by these Terms, including:
- UK consumers: rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013, including a 14-day cooling-off period for digital services;
- US consumers: rights under applicable federal and state consumer protection laws.
15.1 14-Day Cooling-Off Period (UK & EU Consumers)
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel a digital subscription within 14 calendar days of the date of purchase without giving a reason (the "cooling-off period").
Important: By proceeding with your subscription and accessing the Service immediately, you expressly acknowledge and agree that you are requesting immediate access to the digital content and that you understand this means you lose your right to cancel once the content has been fully performed or accessed. If you have not accessed the Service, you retain the right to a full refund within 14 days.
If you have begun using the Service within the 14-day cooling-off period, you may be entitled to a pro-rata refund for any unused portion of your subscription, calculated from the date of your cancellation request to the end of your billing period.
15.2 How to Exercise Your Cooling-Off Right
To exercise your right to cancel within the cooling-off period, you must notify us clearly within 14 days of subscribing by emailing support@gemquote.co.uk with the subject line "14-Day Cancellation Request" and including:
- Your full name and registered account email address
- Your subscription start date
- A clear statement that you wish to cancel and request a refund
- Whether you have used the Service since subscribing
We will acknowledge your request within 3 business days and process any approved refund within 5–10 business days via your original payment method.
We note that Gem Quote is designed and marketed primarily as a business-to-business tool. If you are using it as a consumer, please contact us to discuss your rights.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy and any Disclaimer published on the website, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
16.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition or sale of assets.
16.5 Force Majeure
We will not be liable for any failure to perform our obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet outages, or failures of third-party services.
16.6 Language
These Terms are written in English. If translated into any other language, the English version shall prevail in the event of any inconsistency.
